1. Scope
These Terms and Conditions apply to all services provided by Retail Experience Studio by Benjamin Böhm (hereinafter "RES"), Zürich, Switzerland.
2. Services
RES provides consulting services in the areas of visual merchandising, retail strategy, and future-oriented retail experiences. The specific scope of work is defined individually in a written proposal or contract.
3. Proposals and Contract Formation
Proposals issued by RES are non-binding. A contract is only formed upon written confirmation by both parties.
4. Fees and Payment Terms
Fees are agreed individually and set out in the proposal. Invoices are payable within 30 days of the invoice date unless otherwise agreed. In the event of late payment, RES reserves the right to charge default interest in accordance with Swiss contract law.
5. Intellectual Property
All concepts, presentations, and materials created in the course of the engagement remain the property of RES until full payment has been received. Upon full payment, the agreed usage rights are transferred to the client.
6. Confidentiality
RES treats all information received from the client as confidential and will not disclose it to third parties without express permission.
7. Liability
RES is only liable for damages caused by gross negligence or wilful misconduct. Liability for loss of profit or indirect damages is excluded.
8. Governing Law and Jurisdiction
Swiss law applies. Place of jurisdiction is Zürich, Switzerland.
